By creating an account, clicking "I agree," purchasing access to a Creator's content, or otherwise using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service. This Agreement is between Guiden LLC, a Texas limited liability company ("Guiden," "we," "us," or "our"), and you, the individual accessing or using the Service as a learner ("Learner," "you," or "your").
1. The Service and Your Relationship with Creators
Guiden provides a technology platform that enables independent third-party creators, instructors, coaches, and businesses (each, a "Creator") to host, sell, and deliver educational content, courses, communities, and AI-powered features (the "Service").
Guiden does not create, produce, endorse, verify, monitor for accuracy, or guarantee the quality, safety, legality, or suitability of any Creator's content, courses, advice, AI configurations, or claims. Each Creator sets its own pricing, refund policy, content, schedule, and customer service practices.
2. Eligibility and Your Account
You must be at least 16 years old to create an account or use the Service. If you are between 16 and the age of legal majority in your jurisdiction, you represent that your parent or legal guardian has reviewed and agreed to this Agreement on your behalf.
You are responsible for maintaining the confidentiality of your account credentials, all activity that occurs under your account, using strong unique passwords, and ensuring information you provide is accurate. You may not share, sell, transfer, or sublicense your account or your access to Creator content.
3. AI Features, Data Use, and Your Consent
3.1 AI-Generated Content
The Service includes AI-powered features, including AI tutors and assistants configured by Creators that may answer questions, summarize content, generate examples, and respond in the voice or style of the applicable Creator.
You are solely responsible for evaluating AI outputs. AI outputs may not reflect the actual views, recommendations, or opinions of the Creator they are presented in the voice of.
3.2 Your Consent to Data Collection and Use
By using the Service, you expressly consent to Guiden's collection, storage, processing, analysis, and use of your interactions with AI-powered features, your usage of the Service, and your account information, transaction history, device information, and other information described in the Privacy Policy.
Guiden may use this data to:
- Operate, secure, maintain, debug, and improve the Service.
- Train, fine-tune, evaluate, and develop Guiden's own proprietary AI models scoped to the Service.
- Generate analytics, insights, recommendations, and reports for the Creator whose content you are accessing.
- Develop new features, products, and services.
- Generate aggregated and de-identified data and statistics.
- Personalize your experience and the recommendations you receive.
- Communicate with you about the Service, your account, and (with your permission where required) marketing.
3.3 Data Use Limits
- Guiden will not use your data to train any third-party foundation AI model.
- Guiden will not disclose personally identifiable information about you to other Creators.
- Guiden handles personal information in accordance with the Privacy Policy.
4. Purchases, Billing, and Refunds
4.1 Purchases from Creators
When you purchase access to a Creator's content, course, subscription, community, or other offering, you are buying from the Creator, not from Guiden. Payments are processed by Stripe, Inc. or another payment processor designated by Guiden, on behalf of the Creator.
4.2 Subscriptions and Automatic Renewal
You may cancel a subscription at any time through your account settings or by contacting the Creator. Cancellation takes effect at the end of the current billing period.
4.3 Refunds
Refund eligibility is governed by the Creator's published refund policy disclosed at checkout. Where required by applicable law, you retain any non-waivable refund or cancellation rights regardless of the Creator's policy.
4.4 Chargebacks
If you believe a charge is incorrect, contact the Creator and Guiden first at legal@guiden.ai before initiating a chargeback. Initiating a chargeback without first attempting to resolve the dispute may result in suspension or termination of your account and forfeiture of access to purchased content.
4.5 Taxes
Prices may exclude applicable sales, use, value-added, or similar taxes, which will be added at checkout where required.
5. Assumption of Risk and No Professional Advice
- Educational content is not a substitute for professional advice. Content from Creators (including AI-generated outputs) is for educational and informational purposes only.
- Trading, investing, and financial content involve substantial risk, including the risk of total loss. Past performance does not guarantee future results.
- Fitness, nutrition, and health content may not be appropriate for your individual circumstances. Consult a qualified healthcare professional.
- Legal and tax content is general information, not legal or tax advice.
- Results vary, and any examples, testimonials, or case studies are not guarantees of similar results.
6. Acceptable Use
You agree not to:
- Use the Service to violate any law or third-party right.
- Share, redistribute, resell, screen-record for distribution, scrape, or otherwise copy or extract Creator content.
- Bypass, disable, or attempt to circumvent paywalls, DRM, access controls, rate limits, or other technical protections.
- Attempt to access another user's account, content, or AI conversations.
- Use the Service or any data accessed through it to train, fine-tune, build, or improve any AI model, system, or service outside the Service.
- Use bots, scrapers, automated tools, or other means to access the Service except through documented APIs as permitted.
- Reverse engineer, decompile, or attempt to derive the source code, models, prompts, or system configurations of the Service.
- Upload or transmit malware, exploit code, or harmful content.
- Harass, threaten, defame, or abuse Creators, other Learners, or Guiden personnel.
- Submit fake, fraudulent, abusive, or duplicate chargebacks.
- Misrepresent your identity, age, or affiliation.
7. Intellectual Property
Guiden retains all right, title, and interest in and to the Service. Creators retain all right, title, and interest in their content, subject to the licenses granted in their agreements with Guiden. Your purchase grants you a limited, non-exclusive, non-transferable, revocable license to access and view the applicable Creator's content for your personal, non-commercial educational use.
8. Copyright and DMCA
Guiden complies with the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a notice to Guiden's designated DMCA agent at legal@guiden.ai. Repeat infringers may have their accounts terminated.
9. Third-Party Services
The Service may interoperate with third-party services, including YouTube, Stripe, social platforms, and AI providers. Use of third-party services is governed by their own terms and privacy policies.
10. Privacy
Guiden's collection, use, and sharing of personal information is described in the Guiden Privacy Policy, which is incorporated into this Agreement.
11. Communications and Consent
By creating an account, you consent to receive transactional and account-related communications from Guiden and the applicable Creator. With your separate consent where required, Guiden and Creators may also send marketing communications. You may opt out of marketing at any time.

14. Mandatory Arbitration and Class Action Waiver
14.1 Agreement to Arbitrate
Except as set forth in Section 14.4, you and Guiden agree that any dispute will be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules.
14.2 Procedure and Costs
For claims by an individual Learner under $75,000, Guiden will pay all AAA filing, administrative, and arbitrator fees that exceed the amount you would have paid to file the claim in court.

You may opt out of this Section 14 by sending written notice to legal@guiden.ai within 30 days of first accepting this Agreement.
15. Governing Law and Venue
This Agreement is governed by the laws of the State of Texas. Subject to Section 14, the state and federal courts located in Harris County, Texas have exclusive jurisdiction.
16. Term and Termination
You may terminate your account at any time by contacting Guiden at legal@guiden.ai or, where available, through your account settings. Guiden may suspend or terminate your account or access to specific Creator content at any time if you violate this Agreement.
17. Changes to This Agreement
Guiden may modify this Agreement from time to time. Material changes will be effective no sooner than 30 days after notice. Continued use of the Service after the effective date constitutes acceptance.
18. General
Entire Agreement. This Agreement, together with the Privacy Policy, Acceptable Use Policy, and any terms presented at the point of purchase from a Creator, constitutes the entire agreement between you and Guiden.
